Dangote Refinery Secures $1B Underwriting Support Ahead of Landmark IPO
Dangote Petroleum Refinery & Petrochemicals has locked in $1 billion in underwriting support as it advances preparations for an initial public offering (IPO) expected to rank among Africa’s largest industrial listings.
The financing package, arranged by Marob Strategies and Consulting DIFC Ltd alongside Lilium Capital Group, includes a $600 million private placement that has already been underwritten and fully funded. Additionally, it features a $400 million underwriting commitment specifically earmarked for the public offer itself. The transaction structure is designed to attract sovereign wealth funds, institutional investors, and strategic governments across Africa and the Caribbean. This capital raise builds on a decade-long development trajectory.
Commissioned in 2023 at an estimated cost of $20 billion, the 650,000-barrel-per-day facility in Lekki, Lagos, began commercial operations in early 2024. Designed to eliminate Nigeria’s long-standing reliance on imported refined fuels, the megastructure represents the world’s largest single-train refinery and a core driver of regional energy independence.
Looking ahead, market analysts estimate the company’s total valuation between $39 billion and $50 billion. The planned flotation, expected to offer a 5% to 10% equity stake on the Nigerian Exchange (NGX), could raise up to $5 billion while establishing a blueprint for cross-border African exchange listings.
Financial observers project that the upcoming listing will significantly strengthen foreign exchange liquidity, expand non-oil GDP growth, and deepen retail investor participation across regional financial markets.
